Terms of Service

These Terms of Service (“Terms”) govern your access to and use of Fon, a private communications console operated by Zupral LLC (“Zupral,” “we,” “us,” or “our”) and available at fon.zupral.com (the “Service”). Please read them carefully.

1. Acceptance of these Terms

By accessing or using the Service, you agree to be bound by these Terms and by our Privacy Policy. If you do not agree, do not use the Service. If you use the Service on behalf of an organization, you represent that you are authorized to accept these Terms on its behalf.

2. The Service

Fon is an internal communications tool that lets authorized operators manage contacts and conduct voice and SMS communications. The Service is provided for legitimate business use by authorized Zupral personnel and is not intended for the general public. We may modify, suspend, or discontinue any part of the Service at any time.

3. Eligibility and accounts

Access to Fon is restricted to authorized users who sign in with an approved Google Workspace account. You are responsible for maintaining the confidentiality of your account and for all activity that occurs under it. You must promptly notify us of any unauthorized use. We may suspend or terminate access that we believe is unauthorized or in violation of these Terms.

4. Acceptable use

You agree not to use the Service to:

• Violate any applicable law, regulation, or third-party right;
• Send unlawful, harassing, deceptive, or unsolicited messages, or otherwise engage in spam or abusive communications;
• Attempt to gain unauthorized access to the Service or its related systems, or interfere with or disrupt its integrity or performance;
• Reverse engineer or misuse the Service or any data made available through it.

Communications compliance.When using Fon’s voice and SMS features, you are responsible for complying with all applicable laws and carrier requirements, including the Telephone Consumer Protection Act (TCPA), CAN-SPAM, A2P 10DLC registration and messaging rules, and obtaining any required consent from the individuals you contact. You are solely responsible for the content of the communications you send.

5. Telephony and messaging (Twilio)

Voice and SMS functionality is provided through Twilio. Your use of these features is also subject to Twilio’s applicable terms and acceptable use policies. We are not responsible for carrier delays, message delivery failures, or charges imposed by your or a recipient’s carrier.

6. Intellectual property

The Service, including its software, design, and content (excluding your data and third-party content), is owned by Zupral and protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable right to use the Service in accordance with these Terms. No other rights are granted.

7. Third-party services

The Service integrates with third-party services, including Google (authentication and APIs) and Twilio (communications). Your use of those services is governed by their respective terms and privacy policies, and we are not responsible for their acts or omissions.

8. Privacy

Our Privacy Policy describes how we collect, use, and share information in connection with the Service, including data obtained through Google APIs. By using the Service, you acknowledge the practices described there.

9. Disclaimers

The Service is provided “as is” and “as available,” without warranties of any kind, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, secure, or error-free.

10. Limitation of liability

To the maximum extent permitted by law, Zupral and its affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, or goodwill, arising out of or related to your use of the Service. Our total liability for any claim relating to the Service will not exceed one hundred U.S. dollars (US$100) or the amount you paid us for the Service in the twelve months preceding the claim, whichever is greater.

11. Indemnification

You agree to indemnify and hold harmless Zupral and its affiliates from any claims, damages, liabilities, and expenses (including reasonable attorneys’ fees) arising out of your use of the Service, your content or communications, or your violation of these Terms or applicable law.

12. Termination

We may suspend or terminate your access to the Service at any time, with or without cause or notice. Upon termination, your right to use the Service ceases immediately. Sections that by their nature should survive termination will survive.

13. Governing law

These Terms are governed by the laws of the State of [State], without regard to its conflict-of-laws rules. You agree to the exclusive jurisdiction of the state and federal courts located in that jurisdiction for any dispute arising out of or relating to these Terms or the Service.

14. Changes to these Terms

We may update these Terms from time to time. When we do, we will revise the “Last updated” date above. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
